These Terms and Conditions outline the legal framework governing participation in Growesco Projects and the use of its digital platform in the Republic of Iraq.
1.1 These Terms govern your access to and use of the Growesco website, mobile application, dashboards, notifications, project materials, and related services (the “Platform”).
1.2 The Platform is owned and operated by Rouwad Al Tamkeen Ltd. (the “Company”).
1.3 By creating an account or using the Platform, you (“User” or “Participant”) agree to these Terms and to all referenced policies including the Privacy Policy, KYC/AML Policy, Transparency Policy, and Risk Disclosure.
1.4 Continued use of the Platform constitutes acceptance of these Terms.
2.1 Growesco is a digital project participation and project-management service platform presenting and operating Company-managed projects across multiple sectors.
2.2 Users participate through Project Participation Units (PPUs), which grant access to project information, workflow visibility, updates, and eligibility for a Performance-Based Financial Adjustment (PBFA) after project completion.
2.3 PPUs are digital service units and are not shares, securities, ownership rights, or financial instruments.
2.4 Growesco is not a bank, broker, securities exchange, investment fund, crowdfunding service, or financial intermediary.
2.5 All projects are initiated, executed, funded, managed, and monitored solely by the Company.
2.6 Participation constitutes acceptance of these Terms and any additional project-specific terms disclosed in the Project Documents.
4.1 Participants must be at least 18 years old and possess full legal capacity.
4.2 Accurate information must be provided during registration and KYC.
4.3 Participants must not be subject to sanctions or restrictions under applicable laws.
4.4 The Company may reject, suspend, or terminate accounts at its discretion.
5.1 KYC verification is required before any participation activity.
5.2 The Company monitors transactions to comply with AML obligations and may delay, review, or reject transactions.
5.3 Enhanced due diligence may be required in certain cases.
6.1 Each Project includes a Project Summary and key terms.
6.2 Users may optionally submit non-binding reservations of interest.
6.3 Allocations of PPUs follow a first-come basis or as defined in the Project Documents.
6.4 Participation is finalized through a Project Participation Agreement (PPA).
6.5 Payments are classified as service payments and are processed exclusively through licensed Iraqi banks or regulated payment gateways.
6.6 The Company executes and manages the project and provides updates through the Dashboard.
6.7 After project completion, Participants eligible under the Project Documents may receive a Performance-Based Financial Adjustment (PBFA).
6.8 The Project is formally closed after issuance of final statements.
6.9 By participating, you accept both these Terms and the project-specific provisions.
7.1 PPUs are digital participation units that grant access to project workflow, updates, and PBFA eligibility.
7.2 PPUs do not grant ownership, voting rights, dividends, or equity.
7.3 PPUs do not represent deposits, securities, or financial claims and are not insured.
7.4 PPUs cannot be sold, traded, or transferred without prior written consent from the Company and full KYC verification.
7.5 PPUs entitle the Participant only to the service-based participation described in the Project Documents.
8.1 Fees may include Platform Service Fees, Administrative Fees, Management Fees, and Performance-Based Service Fees.
8.2 All applicable fees are listed in the Project Documents.
8.3 Fees may vary by project type and complexity.
8.4 Minimum participation amounts are defined per project.
9.1 All payments are treated as service payments made through licensed banks or regulated gateways.
9.2 Banking or gateway fees are borne by the Participant unless otherwise stated.
9.3 Payment confirmations are issued through the Platform.
10.1 The Dashboard provides access to allocations, updates, and reports.
10.2 Periodic project updates are provided as defined in each Project.
10.3 Non-financial impact metrics may be published for transparency.
11.1 All projects involve risk. Actual outcomes may differ from expectations.
11.2 PBFA is variable and not guaranteed.
11.3 Participation may result in partial or total loss of the participation amount.
11.4 The Company does not provide financial, tax, or legal advice.
11.5 Past performance does not indicate future results.
12.1 Participants are responsible for taxes arising from participation or PBFA received.
12.2 The Company may withhold taxes as required by law.
13.1 Users must not provide false information or use illegal funding sources.
13.2 Users must not interfere with the Platform’s security or misuse content.
13.3 Violations may lead to suspension or termination.
14.1 All content on the Platform is owned by the Company.
14.2 Unauthorized use or reproduction is prohibited.
14.3 “Growesco” is a registered brand under the Company.
15.1 Personal data is processed according to the Privacy Policy.
15.2 KYC and transaction data may be shared with authorities when required by law.
15.3 You consent to electronic notices and e-signatures.
16.1 Projects are Company-managed and may include service fees.
16.2 The Company maintains governance controls to manage conflicts.
16.3 Any material conflicts will be disclosed in the Project Documents.
17.1 The Company may modify project timelines or Terms.
17.2 Users will be notified of material changes.
17.3 Continued use constitutes acceptance of updated Terms.
18.1 Communications are delivered through the Platform or registered contact information.
18.2 Users are responsible for keeping their information current.
18.3 The Company is not liable for undelivered messages due to outdated details.
19.1 Accounts may be suspended or terminated for KYC failure, suspicious activity, or violations.
19.2 Termination does not affect existing obligations.
19.3 The Company may restrict access when required by law or compliance rules.
20.1 Prior to signing the PPA, refunds may be requested subject to deductions.
20.2 After signing, refunds follow the PPA and Project Documents.
20.3 Administrative charges may apply.
21.1 Some projects may offer early exit or buy-back options as defined in the Project Documents.
21.2 Transfers require Company approval and full KYC.
21.3 Buy-back terms follow the formulas in the Project Documents.
22.1 The Company collaborates with licensed banks and regulated payment gateways.
22.2 The Company is not responsible for delays or outages caused by third-party systems.
23.1 The Platform and Projects are provided “as-is.”
23.2 Liability is limited to total fees paid by the User in the preceding 12 months.
23.3 Indirect or consequential damages are excluded.
23.4 Nothing in these Terms limits liability where prohibited by law.
24.1 The Company is not liable for delays caused by events beyond its control, including natural disasters, war, cyberattacks, or government directives.
25.1 These Terms are governed by the laws of the Republic of Iraq.
25.2 Disputes will first be resolved amicably within 30 days.
25.3 Unresolved disputes will be referred to arbitration in Baghdad.
25.4 Iraqi courts retain jurisdiction for injunctive relief.
26.1 If any clause is invalid, the remaining Terms remain enforceable.
26.2 Users may not assign rights without written consent.
26.3 These Terms and the PPA form the entire agreement.
27.1 This English version governs unless stated otherwise in the PPA.
